1. Agreement and Scope

These Pre-Launch Website Terms of Use ("Terms") govern access to https://podremit.com and its informational pages, waitlist, demonstrations, and other pre-launch features (collectively, the "Website"). PODremit™ is a product of Sojisphere Solutions LLC, an Illinois limited liability company ("Sojisphere," "PODremit," "we," "us," or "our"). By using the Website, you agree to these Terms. If you do not agree, do not use the Website.

2. Important Pre-Launch Notice

PODremit™ is currently in development and is not processing live customer transactions. The Website does not create a payment account; accept, hold, or transmit funds; initiate, authorize, settle, or guarantee a transaction; provide escrow, stored-value, remittance, money-transmission, banking, lending, investment, or legal services; or establish a consumer, merchant, payer, recipient, or financial-partner relationship.

Descriptions of the proposed Spend Authorization Token (SAT), payment flows, online or in-store use, participating merchants, payment methods, corridors, fees, prototypes, screenshots, timelines, and availability are preliminary and may change after legal and regulatory review, partner selection, development, and testing. A pilot or live service will require separate Platform Terms of Service, product privacy notices, eligibility rules, disclosures, consents, and applicable regulated-provider arrangements. Nothing on the Website is an offer to provide a regulated financial service or a promise that a proposed feature will become available.

3. Eligibility

You must be at least 18 years old and legally capable of agreeing to these Terms to join the waitlist or submit a business inquiry. If you use the Website for an organization, you represent that you are authorized to act for that organization. The Website may not be used where doing so would violate applicable law.

4. Permitted and Prohibited Use

You may use the Website for lawful informational and pre-launch communication purposes. You may not:

violate the law or another person’s rights;
submit false, misleading, fraudulent, infringing, harmful, or unlawful content;
attempt unauthorized access, probe or circumvent security, introduce malware, interfere with operation, or scrape the Website at an unreasonable scale;
impersonate another person, misrepresent affiliation, or use the Website to facilitate fraud or financial crime;
copy, modify, distribute, reverse engineer, or commercially exploit protected Website content except as the law expressly permits; or
use PODremit™, Sojisphere, SAT, or related marks in a way that falsely suggests sponsorship, approval, or affiliation.

5. Waitlist

Joining the waitlist allows us to send product-development, future-pilot, and launch-related communications. It does not create an account or guarantee pilot selection, launch access, pricing, geographic availability, merchant participation, transaction limits, or any commercial relationship. You must provide accurate information and may unsubscribe using the link in an email or by contacting us.

6. Submissions and Feedback

Do not submit payment credentials, government identification, health records, biometric information, or other sensitive information through the waitlist or ordinary email. If you voluntarily provide product ideas or feedback, you grant Sojisphere a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation, without transferring ownership of your pre-existing intellectual property. Do not submit confidential information unless a written confidentiality agreement applies.

7. Intellectual Property

The Website and its content, including text, graphics, interfaces, prototypes, software, designs, videos, logos, and compilations, are owned by or licensed to Sojisphere and protected by intellectual-property laws. PODremit™, PayOnDemand, Spend Authorization Token, SAT, Sojisphere Solutions, and associated branding may be trademarks or proprietary identifiers. No license is granted except the limited right to view the Website for personal or internal business purposes.

8. Third-Party Services

The Website uses or links to third-party services, including Webflow, Mailchimp, YouTube, and content-delivery providers. We do not control or endorse unrelated third-party content merely by linking to it and are not responsible for third-party availability, security, terms, or privacy practices. Your dealings with a third party are governed by its terms.

9. Privacy and Cookies

The PODremit™ Pre-Launch Website Privacy Policy and Cookie Policy explain how personal information and related technologies are handled. They are incorporated into these Terms to the extent applicable.

10. No Professional Advice

Website content is general information and is not legal, regulatory, tax, accounting, investment, banking, or financial advice. References to compliance design, potential regulated partners, intellectual property, or future operating models do not represent a legal conclusion, license, approval, or agency determination.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOJISPHERE DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOJISPHERE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM WEBSITE USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL WEBSITE-RELATED CLAIMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID SOJISPHERE SPECIFICALLY FOR WEBSITE USE DURING THE TWELVE MONTHS BEFORE THE CLAIM. These limits apply only to the extent enforceable.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sojisphere and its members, managers, officers, employees, contractors, and agents from third-party claims, losses, damages, and reasonable costs arising from your unlawful misuse of the Website, your submitted content, or your material breach of these Terms. This section does not apply where prohibited by law.

14. Suspension and Discontinuation

We may restrict or discontinue access when reasonably necessary for security, maintenance, legal compliance, protection of rights, or suspected misuse. We may modify or discontinue pre-launch content or features at any time. Provisions that by their nature should survive will survive termination.

15. Governing Law and Venue

These Terms are governed by Illinois law, without regard to conflict-of-law rules. Except where consumer law requires otherwise, the state and federal courts located in Cook County, Illinois have exclusive jurisdiction, and each party consents to that venue.

16. Changes

We may revise these Terms as the Website or PODremit™ development changes. The revised Effective Date will appear above, and material changes will receive additional notice where required. Changes apply prospectively. These Website Terms will not replace the separate Platform Terms of Service required before a live transactional service begins.

17. General

These Terms, together with the incorporated policies and any written terms for a specific pre-launch activity, are the entire agreement concerning the Website. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a corporate transaction or by operation of law. Headings are for convenience only.
